Terms and conditions governing the use of biotronex services

Acceptance of Terms

By accessing and using the services provided by biotronex S.A. ("Company", "we", "our", or "us"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and biotronex.

If you do not agree to these Terms, you must not access or use our services. Your continued use of our services constitutes acceptance of any modifications to these Terms.

Description of Services

biotronex provides retail customer purchase behaviour analytics services, including but not limited to:

  • Customer segmentation and behaviour analysis
  • Predictive analytics and forecasting
  • Inventory optimisation solutions
  • Personalisation and recommendation engines
  • Real-time analytics dashboards
  • Compliance and security consulting

User Obligations

As a user of our services, you agree to:

  • Provide accurate and complete information when creating an account or using our services
  • Maintain the confidentiality of your account credentials
  • Use our services only for lawful purposes and in accordance with these Terms
  • Not attempt to gain unauthorised access to our systems or other users' data
  • Not use our services to transmit harmful, offensive, or illegal content
  • Comply with all applicable laws and regulations in your use of our services
  • Respect the intellectual property rights of biotronex and third parties

Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and processing of your data as described in our Privacy Policy.

You are responsible for ensuring that any data you provide to us complies with applicable data protection laws, including the General Data Protection Regulation (GDPR).

Intellectual Property

All content, software, technology, and intellectual property rights in our services are owned by biotronex or our licensors. This includes but is not limited to:

  • Software algorithms and analytical models
  • Website content, design, and user interfaces
  • Trademarks, logos, and brand elements
  • Documentation, reports, and analytical outputs
  • Trade secrets and proprietary methodologies

You are granted a limited, non-exclusive, non-transferable licence to use our services for your internal business purposes only. You may not reproduce, distribute, modify, or create derivative works based on our intellectual property without our express written consent.

Payment and Billing

If you subscribe to our paid services, you agree to pay all applicable fees as specified in your service agreement. Payment terms include:

  • Fees are charged in advance on a monthly or annual basis as agreed
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to modify our pricing with reasonable notice
  • Late payments may result in suspension of services
  • You are responsible for all taxes related to your use of our services

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access to our services. We may occasionally suspend or restrict access for maintenance, updates, or other operational reasons. We will provide reasonable notice of planned maintenance when possible.

Limitation of Liability

To the maximum extent permitted by applicable law, biotronex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you to biotronex in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless biotronex, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your violation of these Terms
  • Your use of our services in violation of applicable law
  • Your infringement of any third-party rights
  • Any data or content you provide that violates these Terms

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Bergen, Norway.

If you are a consumer resident in the European Union, you may also have rights under the laws of your country of residence.

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in your service agreement. We may immediately suspend or terminate your access to our services if:

  • You violate these Terms or our acceptable use policies
  • Your account becomes delinquent on payment obligations
  • We reasonably believe termination is necessary to protect our systems or other users
  • Required by law or regulatory authorities

Upon termination, your right to access and use our services will cease immediately. We may retain your data for a reasonable period as specified in our Privacy Policy or as required by law.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and biotronex regarding your use of our services and supersede all prior agreements and understandings.
